Trunited Regulations

Updated February 1, 2019


The Trunited Regulations (sometimes referred to as, “Regulations”) herein form a binding agreement between Trunited Marketplace, LLC (“Trunited”)and you (referred to as “You”, “Your”, “Customer”, “Pointholder”, or “Marketer” respectively), and must be read in conjunction with the terms of the Trunited Terms of Service, the Marketer Terms of Service (if applicable), and the Pay Plan 360, before participating or continuing to participate in Trunited.  Collectively these various terms form a single binding agreement with Trunited called the “Trunited Agreement”, or “Agreement.” These Regulations are an essential element of your participation in Trunited. They are carefully designed to protect both You and the entire Network (defined below) to ensure that we are all properly represented in our symbiotic pursuit of success.


Items covered in these Regulations include Your rights and responsibilities as a Customer, Pointholder, and as a Marketer in regards to earnings, distribution of information, contractual obligations, and more.


1. Rules of Procedure


1.1. Customer, Pointholder, and Marketer Relationship:

Upon registering with Trunited as a Customer and by operating as a Customer, Pointholder, or Marketer, You agree to comply with and be bound by all applicable terms herein, including these Regulations, the Terms of Service, and the Pay Plan 360, which together form the complete Agreement.

The Trunited Agreement includes all changes made to all applicable terms that become effective during the term of Your participation in Trunited. The current version of the Trunited Regulations is available at Trunited.com. All Customers, Pointholders, and Marketers are obligated to comply with the Trunited Regulations per the Trunited Agreement.

2. Key Terms


2.1. “Pay Plan 360” The name of the compensation plan or algorithm used by Trunited to determine payout earnings to Trunited users.


2.2 “Customer” A user with a Trunited.com account who has not yet made a purchase in a given month.


2.3 “Guest Shopper”A user without a Trunited.com account who purchases something that earns Trunited a commission, but the points go to another user (usually an acquaintance of the guest customer).


2.4. “Pointholder” A user with a Trunited.com account who has been awarded active points for which the Pointholder will be rewarded cash in a given month.


2.5 “Marketer” An account holding user who meets the Marketer Match qualifications in a given month by earning at least 30 profit points and connecting at least one other user of the platform who does the same in a given month. A marketer earns 1 level of depth credit. (See Pay Plan 360 for more details).


2.6 “Match Points” A term used to describe the number of points a user is awarded for referring other users to the Trunited Platform. To earn match points, both the referrer and the referred user earn 30 points in a given month.  Also known as “Connection Points.” (See Pay Plan 360 for more details).


2.7 “Marketer Match” A term used to describe the monthly Marketer qualification event to determine the number of profit points awarded to a user from referral positions in the Marketer’s network. (See Pay Plan 360 for more details).


2.8 “Match Depreciation” A provision in the Pay Plan 360 algorithm that reduces the point earning value of a network position each time its points are matched on in a given month.  The more times a position is matched upon, the less value in profit points the position rewards the next user matching on it. (See Pay Plan 360 for more information).


2.9 “Pay Plan 360 Information” means all information that discloses or relates to all or part of the Pay Plan 360, including, but not limited to, Customer, Pointholder, and Marketer business identification data, personal contact information, Pointholder and Marketer performance information, and all information generated or derived therefrom, in its past, present or future forms.

2.10 “Trunited Marketplace” refers to any transaction in which commerce takes place through Trunited.

2.11 “Network” The entire connected framework of individuals who use Trunited.com.


2.12 “Payout Pool” A term that describes the amount of money to be paid out to Trunited Pointholders in a given month.  The payout pool is determined by taking the totality of Trunited commissions paid by brands and subtracting expenses. (See Pay Plan 360 for more information).


2.13 “Profit Points” A term used to describe the Trunited currency that is awarded to users of the platform when they make a purchase that results in revenue generated for Trunited. (See Pay Plan 360 for more information).




2.14 “Payback Percentage” A term used to describe the general terms of a brand relationship with Trunited.  A brand’s relationship with Trunited hinges on the percentage the brand pays to Trunited in commission when a purchase is made through the Trunited.com platform links to their website.


2.15 “Trunited Agreement” means all of the terms agreed to by a Customer, Pointholder, and/or Marketer, including the terms within the Trunited Terms of Service, the Marketer Terms of Service (if applicable), the Trunited Regulations, and the Pay Plan 360.

2.16 “Confidential Information” means all non-public information of a proprietary or confidential nature owned, licensed by Trunited and its subsidiaries, or disclosed in confidence by Trunited, to a Customer, Pointholder, and/or Marketer whether or not protected or protectable by copyright, patent, trademark, or trade secrets laws, and whether communicated orally, or in writing, in tangible or intangible form, relating to: (1) the creation, management, and operation of the Trunited business; or (2) the products, services, or internal business affairs of Trunited or its subsidiaries. Confidential Information includes by way of example, but is not limited to Trunited’s: (i) information concerning research and development; (ii) business techniques and know-how; (iii) software, object and source code, firmware, and computer programs, and elements of design relating thereto including, but not limited to, programming techniques, algorithms, inference structures and the construction of knowledge bases, databases, and improvements thereto; (iv) designs, drawings, and written formulae; (v) business and revenue models, financial reports, profits, losses, sales data, and market research and data, and other business information with respect to Trunited or its subsidiaries, that it has not made publicly available including future business plans and projections; (vi) Trunited or its subsidiaries’ customer’s names and information, lead sources and their information, including products and services ordered from Trunited or its subsidiaries prices, and delivery schedules; (vii) information disclosed by a third party to Trunited that it is obligated to treat as confidential; (viii) information regarding the compensation of Trunited or its subsidiaries’ employees, contractors, and other service providers and vendors; (ix) the existence of business discussions, negotiations, or agreements between Company and any third party; (x) all information that is a “trade secret” under all applicable trade secret or other laws; and (xi) the terms and conditions of this Agreement, or instruments of Trunited and its subsidiaries.

2.17 “Competitive” means engaging in sales of products or services that are the same as or similar to the products and services offered by or through the Trunited sales network or Trunited, LLC, including those products and services under development to be sold. Customers, Pointholders, and/or Marketers shall be permitted to make passive investments in any publicly traded company that offers the same or similar products and services offered by the Trunited sales network or Trunited, LLC, but shall not be permitted to hold any officer or board position in the same.

2.18 “Geographic Region” means (i) any geographic region where Trunited, LLC and the Trunited sales network are engaged in business, including internationally, and within the United States of America, including for a Competitor offering its products and services principally through online means, including on the Internet and mobile platforms; but if such territory is not enforceable then for a Competitor (ii) within the states of Colorado, California, Nevada, Texas, and Arizona; but if such territory is not enforceable then (iii) within the State of Colorado and Arizona; but if such territory is not enforceable then within the State of Arizona and 300 miles of Denver, Colorado; but if such territory is not enforceable then (iv) within 100 miles Denver, Colorado.

2.19 “Customer Information” means information we collect about a Customer when registering for our services, including, but not limited to, name and contact information, address, telephone number, email address, username and password, and billing information which may include credit card numbers and billing address, IP address, purchase history, and other information that is associated with a Customer when participating in Trunited.


2.20 “Pointholder and Marketer Information” means Customer Information, plus additional information we collect about a Pointholder and Marketer engaging in commerce through Trunited, including but not limited to, purchase history, sales information, taxpayer identification number, connections in the Trunited network, Pay Plan 360 position and payout information, Customer, Pointholder, and/or Marketer LLC information i.e., name of limited liability company, state of incorporation, address(s) of Your LLC’s member(s) and/or manager(s), email address(s) of  Your LLC’s member(s) and/or manager(s), Your LLC’s EIN, and other information that is associated with Your participation in Trunited.


2.21 “Depth Credit” A term used to describe the vertical depth of your match and point earnings in a given month.  Different milestones of structure building reward the user to earn more and more of the depth, from 0 to 15 levels, that is available to earn match points on. (See Pay Plan 360 for more information).


2.22 “Intellectual Property” means any subject matter or authorship by Trunited that may be considered and protected as a registered or unregistered, trademark, service mark, trade name, patent, copyright, discovery, know-how or trade secret, whether actually registered or not, tangible or intangible, including but not limited to, inventions, discoveries, designs, specifications, developments, methods, modifications, improvements, processes, know-how, show-how, techniques, databases, algorithms, databases, computer software and code, supplier and customer lists, trade secrets, graphics or images, text, audio or visual works, materials that document design or design processes, or that document research or testing, schematics, diagrams, product specifications and other works of authorship.

2.23 “Skip Compression” A term that describes a protective provision in the Pay Plan 360 algorithm that prevents one user  with zero profit points in a given month from blocking the structure creation of another in the same month.  A user with zero points does not qualify to earn match points and is therefore skipped in the month end calculations such that any of its referrals with more than zero points move up to the nearest qualifier in that particular branch of business. 2.24 “Pointribution” The process whereby Trunited users contribute to the platform. (See Pay Plan 360 for more information).


3. Qualification


3.1. Joining Trunited: Creating a profile on Trunited.com is free of charge. Upon creating a profile and filling out the necessary information online, one is considered a Trunited Customer and will be able to purchase products in the Trunited Marketplace in order to become a Trunited Pointholder.


3.2. Connecting Others: Once You sign up and create an account with Trunited, You will be provided a unique URL to connect others. In addition, You will be listed in the database so that those You connect to the Network will be able to select the person as Your referral of record. Customers must also document their actual referral as their referral of record and are prohibited from falsifying a referral of record.  


3.3. Marketing Resources: By logging in to Trunited.com with sign-up information, all Customers will be given access to marketing materials. Access to most of these resources is free of charge.


3.4. Becoming a Pointholder: Once You have created a Trunited account and made at least one purchase on Trunited.com earning you profit points, You will then be a Pointholder.


3.5. Becoming a Marketer: You become a Marketer when—in a given month—You earn at least 30 profit points, and at least one person you connect to Trunited also earns at least 30 profit points in the same month.


3.6 Marketer Match: A term used to describe the qualification event where an account holding user has earned 30 points in a given month and has referred at least one other person who has done the same.  The referring user qualifies as a marketer and earns the opportunity to take part in the Marketer Match, thereby matching on points within their awarded depth credit.  The depth credit is determined by structure and rank, ranging from 1 up to 15 levels.  (See the Pay Plan 360 for more details).


3.7 No Minimums: To qualify for the Payout Pool, there is no minimum dollar amount required for purchases. A single purchase of any price each month is the only purchase condition that is necessary to qualify for the Payout Pool.


4. Brand Affiliations


4.1. Gift Card Affiliates: Trunited has agreements with national gift card companies who provide Trunited with special loyalty rewards gift cards in order to maximize benefits to all Trunited participants.


4.2. Trunited creates agreements with specific “Big Reward Brands” whose products are listed through the Amazing Rebates Club and listed on amazon.com. The Big Reward Brand products are for consumption only.  All Customers, Pointholders, and Marketers agree that they will not, or cause someone else, to resell, redistribute, or repackage Big Reward Brand Products that are purchased on amazon.com without the express written consent of Trunited.   

4.3. Brand Bucks: Trunited has an agreement with Brand Bucks, LLC as its exclusive provider. All Customers, Pointholders, and Marketers agree that they will not, or cause someone else, to resell or redistribute Brand Bucks that are purchased on trunited.com without the express written consent of Brand Bucks.


4.4. Trunited reserves the right to terminate and/or seek damages against You if Trunited determines, in its sole discretion, that Your actions do anything to harm Trunited’s relationships with its Gift Card Affiliates, Brand Bucks, and/or Big Reward Brands.

5. Individual Earnings


Payouts and functionality of the Payout Pool are operated in accordance with Trunited’s unique and proprietary plan, the Pay Plan 360.  The details of the Pay Plan 360 are more fully set forth in the Pay Plan 360. Changes to the Pay Plan 360 may materially impact the quantity, frequency, and entitlements of payouts. (See Pay Plan 360 for more details).


5.1. Division of the Payout Pool: Your Payout Pool percentage is calculated by dividing Your profit points by the total profit points in the Trunited Network in a given month. That percentage is then multiplied by the total amount of money in the Payout Pool after operational expenses are accounted for. (See the Pay Plan 360 for more details).


5.2. Individual Profit Points: Profit points are assigned for each instance of commerce creation through Trunited.com. These points are added up at the end of each month and are distributed based off the percentage of commerce creation they provided. (See the Pay Plan 360 for more details).

5.3. Marketer Influence: In addition to receiving cash-back earnings for personal purchases in the Marketplace, Marketers are also entitled to the Marketer Match and receive credit for the profit points of those they have connected to the Network in the months the Marketer qualifies. (See the Pay Plan 360 for more details).


5.4. Earning New Titles:


a) Customer –  A user with a Trunited.com account who has not yet made a purchase on Trunited website in a given month.  

b) Pointholder – A user with a Trunited.com account who has made a purchase and been awarded active points in a given month.

c) Marketer – Sign up and create a Trunited account, agree to terms and earn at least 30 personal profit points in a given month, and connect at least one other person who also earns at least 30 personal profit points in the same month.

d) Promoter – See Pay Plan 360.

e) PaceSetter – See Pay Plan 360.


5.5. Leadership Titles: As more PaceSetters develop in Your Network, You will be awarded various leadership titles.

a) Influencer – See Pay Plan 360.

b) Partner – See Pay Plan 360.

d) Legend – See Pay Plan 360.

5.6. Payout Pool Qualification: Any and all Pointholders and/or Marketers that maintain active status by creating commerce in a given month are entitled to a percentage of the Payout Pool in that given month.


5.7 Distribution of Earnings: Each Pointholder and/or Marketer will be paid out his, hers, or its payout percentage in cash-back earnings. These earnings will be deposited each month into Your TruWallet account. (See Pay Plan 360 for more details).


5.8. Withdrawal Requests:  To receive your cash back earnings, you may simply withdrawal the specified amount from your TruWallet account.


5.9 Handling of Payout Pool Earnings: At the end of each month, Trunited controls the money collected into the Payout Pool. This money is used to pay bills and to pay obligations to vendors. After all obligations are met, the remaining amount will be divided among contributing Pointholders and Marketers for that month based on their percentages pursuant to the Pay Plan 360.


6. Pointholder and Marketer Responsibilities  


6.1 Taxpayer Identification Information: Once you qualify as a Marketer, You will be required to provide Trunited with your taxpayer identification information before you are eligible to receive cash back from Your Marketer Match earnings, or when otherwise required by Trunited for tax or other purposes. This requirement applies to all Marketers who earn cash back earnings via the Marketer Match.  In the event you sign up to participate in Trunited as a business entity, i.e., Limited Liability Company (“LLC”), You must provide the tax identification number, address, and contact email address for the business entity. Trunited may place a sales order or payout hold on Your account until You provide complete and accurate taxpayer identification information and Your taxpayer identification information is verified. Furthermore, Trunited reserves the right to terminate Your Trunited account and Your participation with Trunited altogether if You fail to provide accurate, complete, and verifiable taxpayer identification information.


6.2 You may sign up as a business entity to participate in Trunited so long as You provide Trunited with (i) Your name and address, and (ii) accurate taxpayer identification information for the business entity. In addition, the following other requirements apply to business entities:


1.Each business entity participant must be a citizen or legal resident and have the legal right to do business in the country where the business entity agrees to the Trunited Terms of Service, these Regulations, and the Trunited Marketer Terms of Service (if applicable), and must be able to provide proof of such. If You are unable to provide this proof upon Trunited’s request, then Trunited may terminate the business entity’s participation in Trunited. You should be aware that merely being listed as a member of a business entity does not necessarily grant you any legal right to do business;

2.Payouts will be issued in the name of the business entity. Trunited will not have any liability to you if the business entity or any participant in the business entity fails to allocate and pay any portion of the Payouts received by the business entity among the multiple participants in the business entity, or for any incorrect allocation and payment; and

3.One individual will be designated as the primary contact of the business entity and Trunited may rely and act on any information provided by the primary contact.

6.3 Pointholder and Marketer Compensation: Pointholders and Marketers may earn cash back earnings by using their social influence to direct traffic to the Trunited platform. All Pointholders and Marketers—upon agreeing to the Trunited Terms of Service, these Regulations, the Pay Plan 360, and the Trunited Marketer Terms of Service (if applicable), and providing Trunited with correct and accurate tax payer identification information—agree to direct the financial compensation for their efforts to Trunited. Trunited agrees—after paying its expenses and determining compensation amounts—to redirect 100% of Pointholder and Marketer compensation into the Payout Pool to be paid out to the Network.


6.4 Marketer Terms of Service: Once You qualify to become a Marketer and are able to participate in the Marketer Match, You must first agree to abide by the Marketer Terms of Service. The binding terms of the Marketer Terms of Service are comprised of the Trunited Terms of Service, these Regulations, and the Pay Plan 360, which together form the complete Marketer agreement with Trunited (the “Marketer Agreement”). The Marketer Agreement further encompasses all modifications to the rules of the Pay Plan 360, the Trunited Terms of Service, the Trunited Regulations, the Marketer Terms of Service, and any other changes that become effective during the term of the Marketer Agreement.


a) Trunited reserves the right at is sole discretion to reject or accept any Marketer’s participation for any reason and at any time.


b) The current version of the Trunited Regulations can be found at Trunited.com.


c) You must qualify each month to participate in the Marketer Match.


d) If a Marketer requests to opt out as a Marketer and discontinue participating in the Trunited Network, then registers with Trunited again in the future, Trunited is not required to restore said Marketer’s position in the Network.


6.5 Legal Compliance: You must comply with all of these Regulations, the Trunited Terms of Service, Marketer Terms of Service (if applicable), and the Pay Plan 360 at all times while participating in the Trunited Network. You may not partake in unlawful or deceptive practices, nor encourage any manipulative or illegal activity, either directly or indirectly. Breach of this Regulation may be grounds for terminating your position in the Trunited Network in addition to all other remedies available to Trunited in equity and/or under applicable Arizona and Federal law.


6.6 Good Faith: You, under the terms of these Regulations, the Trunited Terms of Service, the Pay Plan 360, and the Marketer Terms of Service (if applicable), agree to operate in the Trunited Network in good faith. Trunited reserves the right—in its sole discretion—to determine what actions constitute a breach of this provision. You will be held accountable for actions of a family member, partner, or third party acting on Your behalf and You agree not to participate with and/or aid and abet others in actions that violate the Trunited Regulations. You must act in accordance with the Trunited Regulations and must not participate in any conduct or activity that could jeopardize the reputation of Trunited, its Gift Card relationships, Brand Bucks, Big Reward Brand relationships, its Customers, Pointholders, Marketers, or the Network. If Trunited has any reason to suspect Your actions are in breach of this provision, Trunited reserves the right to delay or withhold payment of Your cash back earnings. Moreover, breach of this section of the Regulations may be grounds for terminating Your position in the Trunited Network in addition to all other remedies available to Trunited in equity and/or under applicable Arizona and Federal law.


6.7 Truth in Presentation: You shall not make any claims about Trunited, the Pay Plan 360, or the Network, other than written statements in their original form that are present through official Trunited resources. You agree to present only complete, accurate, and truthful statements in regards to the benefits, products, and services offered through Trunited.


6.8 Pay Plan 360 Manipulation: Trunited encourages You and all participants in the Network to do Your best to fairly and honorably maximize Your opportunity to earn cash back under the Pay Plan 360 in a legal and ethical manner.  To help foster and maintain fairness and a level playing field for all Pointholders and Marketers, any attempt to manipulate the Pay Plan 360 is strictly prohibited and is grounds for immediate corrective action, up to and including monetary fines and termination of the involved persons, entities, and accounts. Evidence of manipulation may include, but is not limited to the following:


1. Creating Fictitious/Ghost accounts, including accounts created using false or incomplete contact information or identification, or information that cannot be verified using reasonable efforts.  

2. Creating multiple accounts that are held, managed and/or controlled by one person or entity;

3. Multiple Pointholders or Marketers using the same method of payment, the same shipping address, the same email address, and/or the same phone number.

4. Reselling, redistributing, remarketing, and/or repackaging Big Reward Brand products without Trunited’s express written consent that were purchased through Trunited.com.


The Pay Plan 360 was designed to offer an income opportunity and other benefits to those who, among other things, devote the requisite time and effort in pursuing the Trunited opportunity. These Regulations are designed to help protect those efforts and Trunited encourages You to report any suspected manipulative activities to the Trunited Compliance Department at legal@trunited.com.


6.9 Changing Positions in the Network: You shall not, under any circumstance, attempt to coerce, manipulate, convince, solicit, or encourage another Customer, Pointholder, or Marketer to change positions within the Network.


  1. You may change Your position in the Trunited Network within 30 days of creating Your Trunited account so long as you make a formal request to help@trunited.com.

  2. If you request a change in Your Position in the Trunited Network after 30 days from the date You created Your Trunited account, You must do so by sending an email the Trunited Compliance Department at legal@trunited.com. The Trunited Compliance Department will analyze each request on a case by case basis.  All change of position decisions made by the Trunited Compliance Department are final.

  3. Position changes for multiple positions are strictly prohibited.


6.10 Product Redistribution: Big Reward Brand products purchased through Trunited.com are prohibited from being redistributed, rebranded, or remarketed without the express written consent of Trunited.


(a) Items You purchase through Trunited.com or through the Amazing Rebate Club may not be resold by You online, through a retailer, or at an event, kiosk, booth, or fundraiser for commercial gain without the express written consent of Trunited.


(b) Products You purchase through Trunited.com or the Amazing Rebate Club shall not be repackaged by You or any other third party for Your benefit or for the benefit of a third party without the express written consent of Trunited.


(c) Trunited reserves the right to terminate any Customer, Pointholder, or Marketer caught violating section 6.10 or any of its subparts.


6.11 Updated Information: You are responsible for keeping Your correct information within the Trunited system updated. This includes any changes in personal and/or business information, credit card information, as well as shipping and billing addresses.


6.12 Independent Contractor: You are an Independent Contractor. You are not an agent, employee, officer, partner, member, or joint-venturer with Trunited, and You may not represent Yourself as such. You agree that as an independent contractor:

  • You are responsible for Your own business decisions and must determine in Your sole discretion, when You will work and the number of hours You will work;

You will receive cash-back earnings based on performance and not the number of hours You work;

You are subject to entrepreneurial risk and responsible for all losses that You incur within the Trunited Network;

You must pay Your own license fees and any insurance premiums, and if required, obtain a federal employment identification number;

You are responsible for all costs of Your business including, but not limited to, travel, entertainment, office, clerical, legal, equipment, accounting, and general expenses without advances, reimbursement, or guarantee from Trunited; and

You will not be treated as an employee for federal or state tax purposes. If You meet a certain payout threshold on Your Marketer Match cash earnings, You will receive a Federal Internal Revenue Service form 1099 reflecting Your Marketer Match cash earnings that Trunited paid You in a calendar year.


6.13 Tax Information: You must pay any self-employment taxes required by federal, state, and local laws, statutes, and regulations. You will receive an IRS Form 1099 (if applicable) reflecting relevant tax information related to Your Trunited account.


6.14 No Authority to Act on Behalf of Trunited: You have no authority to act on behalf of Trunited. This includes, but is not limited to, any attempt to:


  • register or reserve Trunited names, trademarks, trade names or products;

  • register URLs using Trunited, Trunited names, trademarks or trade names;

  • register or secure approval for products or business practices; or

  • establish business or governmental contacts of any kind on Trunited’s behalf.


You must indemnify Trunited for all costs and attorneys’ fees incurred by Trunited for any remedial action needed to exonerate Trunited in the event that You improperly act on behalf of Trunited. You must immediately assign to Trunited any registration of Trunited names, trademarks, trade names, products, or URLs registered or reserved in violation of this section without Trunited’s reimbursement of any costs you incurred.


6.15 Designation as Employer Prohibited: You may not identify Trunited as Your employer on loan applications, government forms, employment verification requests, applications for unemployment compensation or any other form or document.


6.16 Regulations Compliance: You must maintain compliance with the Trunited Regulations at all times.


6.17 Inactivity: If You fail to create commerce of Your own for six months, You become inactive. In order to become active again, You must create a new Trunited account.


6.18 Use of Credit Cards: No Trunited Customer, Pointholder, or Marketer may use his, hers, or its credit card to make purchases for more than three (3) Trunited accounts.


6.19 Chargebacks: You agree that before You submit a chargeback on a purchase made through Trunited.com, or before you dispute a funding request to your TruWallett, You will notify Trunited at help@trunited.com to inform Trunited that you did not receive a product you purchased, your purchased product was damaged, you were charged for a product you did not purchase, or that you received the wrong product. You further agree that you will give Trunited at least 3 business days to rectify the issue. Failure to comply with this section of these Regulations is grounds for termination of your Trunited account. Moreover, if Trunited has any reason to suspect a fraudulent chargeback is associated with your Trunited account, Trunited reserves the right to charge your Trunited account $50.00, and/or delay or withhold payment of Your cash back earnings indefinitely.


7. Pointholder and Marketer Rights


7.1 Product Returns, Refunds, and/or Product Exchanges: Decisions regarding product returns, refunds, and/or product exchanges will be made by Trunited subject to the Trunited Refund Policy. You may view the Trunited Refund Policy at Trunited.com

7.2 Minors: Minors under the age of 16 are forbidden from participating as Customers, Pointholders, or Marketers with Trunited. Minors who are at least 16 years of age may become a Customer Pointholder, or Marketer in the following ways:

a) Email Trunited a notarized signature and approval of the minor’s guardian; or

b) Be referred by or added to the Trunited Network by a parent or guardian who is a Marketer.

7.3 Partnerships: Partnerships are allowed but discouraged within the Trunited Network. Partnerships are allowed only for legally married couples. If a married couple wishes to join Trunited as a partnership, the married couple must list the partnership at the time their Trunited account is created.


7.4 Married Customers, Pointholders, and/or Marketers: Spouses may hold separate individual Trunited accounts within the Trunited Network, but are each subject to the Terms of Service, these Regulations, the Marketer Terms of Service (if applicable), and the Pay Plan 360 individually, and may not engage in practices designed to manipulate the Pay Plan 360.


7.5 Sale of Trunited Position: A sale of Your Trunited position is permitted only with the express written permission of Trunited.


7.6 Mergers: Mergers resulting from termination, failure to renew, death (with no heirs or partners designated) or an involuntary event out of a Customer, Pointholder, or Marketer’s control are only permitted with Trunited’s express written approval.


7.7 Partnership Dissolution: In the event of a partnership dissolution, the partners must comply with one of the following options:


a) One of the Partners relinquishes the position and his or her rights and interests thereof;


b) The Partners agree on a third party to own the position; or


c) If a resolution cannot be met in a timely fashion and without arbitration, Trunited may appoint a third party to act in the position’s best interest until a resolution is met.


7.8 Holding Multiple Trunited Accounts: YOU MAY NOT hold more than one Trunited account within the Trunited Network.

(a) Trunited reserves the right to terminate Your account, withhold your cash back earnings, and terminate Your participation in Trunited if it discovers that You have in the past, or are currently creating, holding, controlling, and/or managing multiple Trunited accounts.


7.9 Disposition of Pointholder or Marketer: If a Pointholder or Marketer resigns, terminates his, her, or its Trunited account, dies without transferring the position, or is terminated by Trunited, Trunited may decide the future of the position in accordance with these Regulations.


7.10 Contacting Trunited: When Trunited requires You to contact Trunited for permission, approval, or notice, it shall do so by writing to PO Box 25128

8. Presentation of Pay Plan 360


8.1 Confidentiality: Trunited has compiled and maintains the Pay Plan 360 through considerable time, effort, and innovation and regards it as proprietary information. You may use information on the Pay Plan 360 exclusively for purposes permitted under these Regulations, the Terms of Service, and the Marketer Terms of Service; and You acknowledge the following:


a) Trunited is the exclusive owner of the Pay Plan 360, its algorithm, and all trade secrets held within.


b) Use of Pay Plan 360 information, other than as authorized by Trunited is strictly forbidden.


8.2 Inviting Potential Customers: When talking to potential Customers, You must make only truthful and accurate statements, particularly in relation to income and explanation of the system.  


8.3 Disclosure: When describing the Pay Plan 360, You:


a) Must use only authorized original marketing resources from Trunited.


b) Must portray accurate profits, earnings, and percentages as published by Trunited.


c) Must not use lifestyle examples that were not directly gained through Marketer status with Trunited.


d) Must not say or imply there is no requirement for directing traffic to the Trunited Marketplace or marketing of products by participants in the Network.


e) Must not promote potential tax benefits of joining the Trunited Network.


f) Must not require or impose fees on any potential participant, Customer, or Marketer in the Trunited Network.


g) Must not refer Customers in a way that manipulates the Pay Plan 360.


8.4 Non-Competition: You agree not to participate in, operate, consult for, or serve in a key position with companies using direct sales or marketing, through an affiliate position, products that are competitive with Trunited’s Big Reward or Retailer Brands as follow: You agree that during the period while You are a Customer, Pointholder, or Marketer, and for nine months following expiration or termination of your Trunited account, you will not compete with Trunited by promoting, as an owner, employee, or consultant, any other direct sales program or any products or services that are competitive with Trunited. This covenant shall survive the expiration or termination of Your participation in the Trunited Network.  You understand that this restriction is reasonable in light of the training, exposure, and opportunities that will be provided to You and the unfair advantage You will have if You compete with Trunited as stated herein.


a) This rule extends to a nine-month period beyond termination of Your Trunited account.


b) The time period will be extended by any period of time if You are in violation of this rule.


c) You recognize that violation of this Regulation compromises the competitive interests of Trunited and the Trunited Network and any violation of Section 8.4 will likely result in legal action, including but not limited to restraining orders, injunctions, litigation and damages.


8.5 Non-Solicitation: You agree not to, on Your own behalf or the behalf of any person or entity, directly or indirectly encourage any person who has been a Customer, Pointholder, or Marketer with Trunited in the past two years to participate in, operate, consult for, or serve in a key position with companies using direct sales or marketing, through an affiliate position, products that are competitive with Trunited’s Retailer or Big Reward Brands, as follows:  You agree that during the term of your participation with Trunited and for two years thereafter you shall not, either directly or through others: (a) solicit, call on, or divert any employee, Pointholder, Marketer, or vendor of Trunited to become an employee, independent contractor, distributor, or vendor to or for any other person or entity; (b) hire or participate in the hiring or recruitment of any employee, independent contractor, Pointholder, Marketer, distributor, or vendor,  of Trunited for any other person or entity; or (c) solicit any other Customer, Pointholder, or Marketer of Trunitedwith whom You had contact with or whose identity you learned as a result of conducting business with Trunited, for the purpose of selling any goods or services that are “competitive, the same, or similar” to those offered by Trunited. Goods and services are considered to be “competitive, the same, or similar” if they are complementary to or can supplement, or replace Trunited’s goods and services and are also being offered through an affiliate, direct sales, or network marketing platform.

If you violate this Non-Solicitation provision, the Non-Solicitation Period will be extended by one year from the date of your last solicitation of any of the above-mentioned parties, including, but not limited to Pointholders and/or Marketers. A solicitation includes any direct or indirect attempt to entice or encourage any of the above-mentioned parties, including, but not limited to Pointholders and/or Marketers to consider joining or working with or for another network marketing, multi-level marketing, or direct selling company. A solicitation may include communicating information (including through online and social media postings) about another business venture to any of the above-mentioned parties, including, but not limited to Pointholders and/or Marketers, to the extent a reasonable person would interpret your communication as an attempt to solicit his or her interest in that business venture.

Violation of this provision is grounds for termination of your Trunited account and may also give rise to other claims for unauthorized use of Confidential Information. You acknowledge that a breach of this policy will result in irreparable damage to Trunited. You recognize and agree that violations of this policy cannot be fully compensated through monetary damages. Accordingly, you acknowledge and agree that Trunited will be entitled to injunctive relief to prevent breach of this policy. If any action is taken to enforce this policy or to obtain injunctive relief or recover damages, the prevailing party shall be awarded of its costs and expenses, including reasonable attorneys' fees. You understand and agree that in addition to Trunited, other Pointholders or Marketers may be entitled to seek and obtain injunctive relief and other damages if you violate this provision. You understand and agree that the non-solicitation obligations and related remedies will survive the termination or cancellation of your account and/or relationship with Trunited.


8.6 External Business Practices: You may partake in other ventures and businesses except in regards to Regulations 8.4 and 8.5. However, You may not use trade secrets of the Pay Plan 360 in order to expand or promote such ventures.


8.7 Marketing Resources: Trunited provides a wealth of official marketing resources to all of its members free of charge. These works are copyrighted and are the exclusive property of Trunited.


8.8 Promotion: If You organize events, seminars, or meetings, You agree to act in accordance with these Regulations and may not represent Yourself as an agent of Trunited without the express written consent of Trunited.


9. Legal Compliance


9.1 Legal Compliance: You are bound by the Agreement (which includes Trunited Regulations, Trunited Terms of Service, the Marketer Terms of Service (if applicable), and the Pay Plan 360), and must comply with the parameters therein and must also continue to comply with those parameters when it is determined that You are in breach of any of the above terms.


a) You must comply with Trunited’s confidentiality requirements.  The Trunited Way, both partially and collectively, including but not limited to the Pay Plan 360 Information (as defined in Regulation 2.9), which constitutes commercially advantageous, unique, and proprietary information owned by Trunited. Additional non-public information that You will view or receive as a Customer, Pointholder, or Marketer will include Trunited’s Confidential Information (as defined) that is considered confidential and trade secret information.  During the term of Your participation with Trunited, Trunited grants You a limited, non-exclusive, non-transferable, and revocable license to use the Trunited Way and other Confidential Information, including Pay Plan 360 Information, solely for transacting business with Trunited as a Pointholder and/or Marketer. You acknowledge the substantial value of Trunited Confidential Information and shall hold such information in the strictest confidence and use it only as authorized by Trunited, and not disclose any Pay Plan 360 Information or other Confidential Information to any third party, or to use Pay Plan 360 Information or other Confidential Information in connection with any other businesses or for any purpose other than to advance Trunited business. Upon inactivity or termination of Your Trunited account, You shall promptly destroy or return to Trunited any and all Confidential Information, including any Pay Plan 360 Information and Marketing Resources, and immediately discontinue any further use of the same. You shall not use or disseminate Confidential Information other than as expressly authorized in these Regulations. This covenant shall survive the expiration or termination of Your Trunited Account.


  • b) Intellectual Property.  You shall use Trunited’s intellectual property solely for the purpose of transacting business for the benefit of Trunited and as Trunited permits. All work product and intellectual property resulting from participation in the business of Trunited or derived therefrom shall be the exclusive property of Trunited (or its designated assignee or licensor, as the case may be).  All contributions to Trunited’s work product and intellectual property relating to the Company’s business shall be considered Works Made for Hire under the Copyright Act, 17 U.S.C. § 101, and owned by the Company or its designated assignee or licensor. If the work product does not qualify for Works Made for Hire status, by virtue of becoming a Customer, Pointholder, or Marketer, You hereby sell, assign and transfer, and agree to sell, assign, and transfer to Trunited (or its designated assignee or licensor) in the future, for its own use and benefit, and for the use and benefit of its successors, assigns, and other legal representatives, all of your worldwide right, title and interest in and to all Trunited related work product and all intellectual property, all goodwill associated therewith, and all claims for past, present, and future infringement. You shall assist Trunited in perfecting its (or its designated assignee or licensor’s) rights and title to the intellectual property being assigned herein by executing any and all documents required by Trunited or its designated assignee or licensor. Trunited may be required to assign any and all intellectual property and any improvements thereto to its assignee or licensor, as consideration for its assignee or licensor’s agreement to provide the benefits of the intellectual property to Trunited.


9.2 Trunited’s Contractual Obligations: If Trunited determines, in its sole discretion, that You have breached any of the terms of the Trunited Terms of Service, the Marketer Terms of Service (if applicable), and/or the Trunited Regulations, said breach will be investigated by Trunited, as Trunited, in its sole discretion deems appropriate. You are required to participate in good faith with all such compliance investigations and inquiries, otherwise You are in breach of these Regulations and Your Trunited account may be terminated as a result. If Trunited determines that you are in breach of any term in the Agreement, Trunited will likely take one or more of the following actions, or any combination thereof:


a) Trunited may try to resolve the issue by contacting You in order to resolve the issue. If that does not work, Trunited may proceed with:


b) A written or electronic warning to You;


c) Putting Your account and Your rights on suspension until Trunited’s conditions are met;


d) Withdrawing or denying Your cash back earnings or incentives;


e) Withholding Your payouts; and/or


(f) Terminating Your account and Your opportunity to participate in Trunited.


9.3 Your Contractual Obligations: If You believe another person or entity is in breach of any of the terms in the Terms of Service, Marketer Terms of Service, these Regulations, or the Pay Plan 360, You shall contact the other person or entity or Trunited, respectively, in an effort to resolve the situation. If this does not resolve the issue, You may deliver a written complaint to Trunited to explain the situation in detail and include supporting documents. Trunited will then investigate and take action as it deems appropriate in its sole discretion.


a) Any unresolved issues will be handled under the procedures outlined in Regulation 9.6.


b) Anyone who chooses to challenge the validity of a Regulation or any other aspect of the terms of the Terms of Service, Marketer Terms of Service, these Regulations, or the Pay Plan 360, shall contact Trunited in order to resolve the issue. If the issue is not resolved, it will be handled under the Procedures outlined in Regulations 9.6.


c) You are obligated to respond to all Trunited inquiries and any Trunited investigation in a timely and cooperative manner. Failure to cooperate and/or to respond in a timely manner is a breach of these Regulations, and may result in Trunited: (i) putting a hold on or terminating Your account, (ii) withdrawing and/or denying rewards or incentives, and/or (iii) withholding payouts.


9.4 Non-Waiver: No breach of the Agreement shall be waived due to the failure of Trunited to enforce prior, concurrent, or subsequent breaches of these Regulations, the Terms of Service, the Marketer Terms of Service, or the Pay Plan 360.


9.5 Notification of Changes to Terms: In accordance with these Regulations, Trunited may modify the Regulations’ terms from time to time at its sole discretion. Trunited will notify You of said changes by emailing the updated terms to the email You provide Trunited upon creating your account, and/or by posting updates and modifications on Trunited.com.  It is Your responsibility to check for updates to the Regulations. As such, Your continued participation in Trunited.com shall act as Your acceptance to any updates to these Regulations.


a) Final authority on modifications and updates to these Regulations and all relevant decisions rests solely with Trunited.  


b) If You are unwilling to comply with a change in these Regulations, You should notify Trunited at help@trunited.com of Your intent to terminate Your account and participation with Trunited, and such termination will take effect immediately.


9.6 Dispute Resolution Process: After the steps outlined above have been taken to resolve an issue related to the Pay Plan 360, these Regulations, the Terms of Service, or the Marketer Terms of Service, and a dispute is still unresolved, said dispute shall be resolved in accordance with this Regulation and the following subparts:


a) Applicable Parties in a Dispute: These procedures apply to (1) Customers, Pointholders, and Marketers, and former Customers, Pointholders, Marketers, or Legal Affiliates (as they were known before March 1, 2018), (2) Trunited and any parent, subsidiary, affiliate brand, predecessor, or successor thereof, as well as Trunited’s leaders and employees.


b) Exception to Contract Dispute Procedures: Trunited reserves the right to resolve any product claims or claims for payment in any Arizona court of law, as it deems appropriate in its sole discretion. For all other disputes, the Parties shall resolve the dispute under these Regulations, including binding arbitration, if necessary.


c) Injunctive Relief: Trunited may seek relief and equitable remedies in a court of competent jurisdiction, notwithstanding any alternative dispute requirement to the contrary, and seek a preliminary or permanent injunction, in addition to any other equitable remedy available by law. Nothing in these Regulations, the Terms of Service, or the Marketer Terms of Service shall prevent or limit Trunited’s equitable remedies.


d) Confidentiality of Disputes: While involved in these dispute procedures, none of the Parties may disclose any information about the content of testimony or other information obtained during the process. Parties must also keep the basis for the dispute confidential and may not discuss any information, including the resolution of the dispute, with any person not directly involved in the dispute. Parties may, however, conduct interviews with witnesses, investigate a defense or claim, and otherwise participate in discovery, so long as the party is acting in good faith.


e) Conciliation: You agree that when You seek any resolution to a dispute, You shall first provide a request for conciliation via email to Trunited, at legal@trunited.com, with the phrase “Conciliation Request” in the subject line of the email, thus commencing conciliation and an effort to resolve the dispute in a non-confrontational setting. Regardless of the parties involved, a conciliation request should always be provided to Trunited. Within 30 days of receipt, Trunited will attempt to resolve the issue raised and notify the complaining party of its decision.


f) Mediation: If unresolved, You are obligated to request non-binding mediation as the next step in conciliation. Mediation requests must be sent to: legal@trunited.com. Mediation will take place in Maricopa county, State of Arizona with an approved neutral mediator acceptable to all parties.


g) Arbitration: ANY CONTROVERSY OR CLAIM ARISING OUT OF, OR RELATING TO THESE REGULATIONS, THE TERMS OF SERVICE, THE PAY PLAN 360, OR THE MARKETER TERMS OF SERVICE THAT IS NOT RESOLVED BY MEDIATION, SHALL BE SETTLED BY CONFIDENTIAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS COMMERCIAL ARBITRATION RULES, AND JUDGMENT ON THE AWARD RENDERED BY THE ARBITRATOR MAY BE ENTERED IN ANY COURT HAVING JURISDICTION THEREOF. IF YOU FILE A CLAIM OR COUNTERCLAIM AGAINST TRUNITED, YOU MAY ONLY DO SO ON AN INDIVIDUAL BASIS AND NOT WITH ANY OTHER INDIVIDUAL OR AS PART OF A CLASS ACTION. YOU WAIVE ALL RIGHTS TO TRIAL BY JURY OR TO ANY COURT. All arbitration proceedings shall be held in Maricopa County, State of Arizona, unless the laws of the jurisdiction where you reside expressly require the application of its laws, in which case the arbitration shall be held in the capital of that jurisdiction. At least one arbitrator shall be an attorney at law experienced in business law transactions and network marketing. Neither the parties nor the arbitrator(s) may disclose the existence, content, or results of any arbitration without the prior written consent of both parties. Judgment on any award rendered by the arbitrator(s) may be entered in any court having jurisdiction. Each party to the arbitration shall be responsible for its own costs and expenses, including legal and filing fees; provided, however, that the arbitrator will have discretion to award legal fees and other costs to the prevailing party. The decision of the arbitrator shall be final and binding on the parties. This agreement to arbitrate shall survive any termination or expiration of Your relationship with Trunited.


YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND SHALL NOT PARTICIPATE IN OR BRING ANY CLASS ACTION CLAIMS AGAINST TRUNITED, ITS PARENTS, SUBSIDIARIES, OR ASSIGNS.  


9.7 GENERAL PROVISIONS


a) Severability: If any portion of the Trunited Regulations, Terms of Service, Marketer Terms of Service, or the Pay Plan 360 is deemed unenforceable in any respect by a court of competent jurisdiction or arbitrator, the rest of the terms in these Regulations, Terms of Service, Marketer Terms of Service, or the Pay Plan 360 shall still be enforced to the fullest extent permitted by law. The unenforceable portion will not affect the enforceability of the entirety of the remaining terms.

b) Jurisdiction: The enforcement of the terms of these Regulations, Terms of Service, Marketer Terms of Service, or the Pay Plan 360 shall be governed solely and exclusively by Arizona Law. All disputes shall be resolved in Arizona either via mediation, arbitration, or litigation (as expressly permitted herein), and the parties waive any and all objections to venue and forum to the contrary. The Regulations, Terms of Service, Marketer Terms of Service, and the Pay Plan 360, are entered into as if between parties contracting in Arizona and conflict of law principles shall apply.

c) Trunited’s waiver of Yours, or any other Pointholder or Marketer’s breach of any terms in the Regulations, Terms of Service, Marketer Terms of Service, or the Pay Plan 360, or failure to enforce its rights contained therein, shall not operate as or be deemed a waiver of its right to enforce said breach or any subsequent breach.

d) Exclusion of Damages: In no event shall any Trunited officer, director, employee, affiliate, partner, founder, successor, or assignee be liable for any special, punitive, indirect, or consequential damages, for any claims or actions resulting from or arising out of your participation with Trunited, the Regulations, the Terms of Service, the Marketer Terms of Service, or the Pay Plan 360, the functionality or operation of any website, or any acts or omissions of any Trunited party, whether based on contract, tort (including negligence), strict liability, or any other cause of action.

e) The Regulations shall be binding upon and inure to the benefit of the parties hereto and to their respective heirs, appointed representatives, successors, and assigns.  You shall not assign any rights available by virtue of participating in Trunited, including rights under the Marketer Terms of Service, to any party without first obtaining Trunited’s written consent.

f) THE TERMS OF THE TRUNITED TERMS OF SERVICE, THE MARKETER TERMS OF SERVICE (when applicable), THE PAY PLAN 360, INCLUDING THESE TRUNITED REGULATIONS, EMBODY THE COMPLETE AND ENTIRE AGREEMENT BETWEEN YOU AND TRUNITED, AND SUPERSEDES ALL PRIOR AGREEMENTS, ORAL DISCUSSIONS, WRITTEN COMMUNICATIONS IN ANY FORM, AND UNDERSTANDINGS BETWEEN YOU AND TRUNITED (INCLUDING WITHOUT LIMITATION, EARLIER VERSIONS OF THESE REGULATIONS THAT MAY HAVE BEEN ACCEPTED BY YOU).

g) Trunited shall be entitled to collect all of its attorneys’ fees and costs for enforcing any of these Regulations, the Terms of Service, Marketer Terms of Service, or the Pay Plan 360.

h) YOU REPRESENT THAT YOU HAVE CAREFULLY READ THESE REGULATIONS AND EACH OF THE TERMS REFERENCED HEREIN, AND THAT YOU HAVE ADEQUATE FAMILIARITY WITH TRUNITED AND BUSINESSES OF THE TYPE CONTEMPLATED BY TRUNITED. YOU REPRESENT THAT YOU HAVE BEEN AFFORDED AN ADEQUATE OPPORTUNITY TO RETAIN LEGAL AND/OR TAX AND FINANCIAL ADVISORS TO ADVISE YOU.

i) YOU REPRESENT THAT YOU HAVE INDEPENDENTLY CONDUCTED SUCH DUE DILIGENCE AND EVALUATION WITH REGARD TO PARTICIPATING IN TRUNITED. YOU HAVE BEEN ENCOURAGED BY TRUNITED TO ENGAGE YOUR OWN LEGAL AND TAX ADVISORS AND HAVE DONE SO TO THE EXTENT YOU DEEMED APPROPRIATE.

10. Miscellaneous

10.1 Non-Disparagement: You agree that, during the duration of Your participation with Trunited and at any time thereafter, You will not make, or cause to be made, any statement, observation, or opinion, or communicate any information (whether oral or written), to any person other than to Trunited’s Legal Counsel and other executive management team members of Trunited, that disparages Trunited or is likely in any way to harm the business or the reputation of Trunited, or any of its former, present, or future managers, directors, officers, members, or Independent Contractors.  


10.2 Shipments to Warehouses and/or the Same Address for more than three (3) Accounts: Trunited reserves the right to deny shipment requests to warehouses and/or to the same address for more than three (3) Customers, Pointholders, or Marketers (or any combination thereof).  Further, Trunited reserves the right to deny purchases for more than three (3) Customers, Pointholders, or Marketers (or any combination thereof) if said purchases are made with the same credit card number or with credit cards bearing the same name.


10.3 Third-Party Rights: No person not a party to the Agreement is intended to be a beneficiary of the Agreement and no person not a party to the Agreement shall have any right to enforce any terms of the Agreement.
